The earlier reference to section 45(5A) should not be presented as an undated current rule. The Income Tax Department's transition FAQ explains that the 2025 Act took over from 1 April 2026, with savings for earlier years and proceedings. Under the published section 67(14)–(16), the special timing rule concerns an individual or HUF transferring a capital asset consisting of land/building under a specified agreement. The definition requires a registered agreement for development in return for a share of land/building in the project, with or without part cash consideration. Tax timing is tied to the competent authority's completion certificate for the whole or part of the project. Deemed consideration combines the certificate-date stamp-duty value of the owner's share with monetary consideration. If the owner transfers that share on or before the certificate date, subsection (14) does not apply; subsection (16) supplies the alternative treatment. Income-tax Act section 67
This means the contract label “JV” is insufficient. A company landowner, a revenue-only arrangement or an early disposal needs its own analysis rather than automatic use of the completion-certificate rule.
Before negotiating shares, prepare two schedules. The commercial schedule should allocate identifiable units/area or receipts, construction obligations, approval responsibilities, financing, deadlines and remedies. The tax schedule should record owner status, asset character, agreement registration, consideration, certificate dates and any planned transfer. These are editorial preparation steps, not prescribed contract clauses.
No share ratio, tax amount, exemption, GST treatment, withholding outcome or RERA allocation is approved here. A tax adviser must apply the relevant law to the actual agreement, and Hobo's current structuring/professional-service mandate still requires owner evidence.
